Incorporation: The ETF is an open-end mutual fund trust established under the laws of Ontario, on April 24, 2024 pursuant to an amended and restated master declaration of trust. The ETF is an "alternative mutual fund" as defined in NI 81-102.

Nature of business: The ETF seeks to replicate, to the extent reasonably possible and net of expenses, 1.25 times (125%) the performance of an index of equity securities representing the largest domestic and international nonfinancial companies listed on The Nasdaq Stock Market (currently, the Nasdaq-100® Index). The ETF will use leverage in order to seek to achieve its investment objective. Leverage will be created through the use of cash borrowings or as otherwise permitted under applicable securities legislation.

Distributions: It is anticipated that the ETF will make distributions to its Unitholders on an annual basis.

Initial public offering: 100,001 Units will be issued at a subscription price of C$20.00 per Unit. The ETF is authorized to issue an unlimited number of Units. Units of the ETF are being issued and sold on a continuous basis and there is no maximum number of Units that may be issued.
