Incorporation: The ETF is an open-end mutual fund trust established under the laws of Ontario, on September 28, 2023 pursuant to an amended and restated master declaration of trust. The ETF is an "alternative mutual fund" as defined in NI 81-102.
Manager and Trustee: Horizons ETFs Management (Canada) Inc.

Nature of business: The ETF seeks to provide, to the extent reasonably possible and net of expenses: (a) exposure to the performance of an index of the largest domestic and international, non-financial companies listed on the NASDAQ stock market (currently, the NASDAQ-100® Index); and (b) high monthly distributions of dividend income and call option premiums. To generate premiums, the ETF will be exposed to a dynamic covered call option writing program. The ETF will also employ leverage (not to exceed the limits on use of leverage described under "Investment Strategies" in the Prospectus (as defined below)) through cash borrowing and will generally endeavour to maintain a leverage ratio of approximately 125%.

Distributions: It is anticipated that the ETF will make distributions to its Unitholders on a monthly basis.

Initial public offering: 100,001 Units will be issued at a subscription price of C$20.00 per Unit. The ETF is authorized to issue an unlimited number of Units. Units of the ETF are being issued and sold on a continuous basis and there is no maximum number of Units that may be issued.
