Incorporation: The ETF is an open-end mutual fund governed by a master declaration of trust dated March 14, 2011, as amended and restated, pursuant to Ontario laws.

Nature of business: The primary objective of the ETF is the achievement of a high level of stable income, with an attractive total return, by investing primarily in international dividend-paying equity securities.
Transfer agent and registrar: TSX Trust Company at its principal office in Toronto.
Distributions: Each quarter, the ETF will distribute an amount calculated based on the ETF's net income for the quarter. The ETF will distribute enough of its undistributed net income and net realized capital gains in December so that it does not have to pay ordinary income tax.

Offering document: Amendment No. 2 dated October 24, 2023 to the Simplified Prospectus dated April 27, 2023 as amended by Amendment No. 1 dated October 5, 2023, which is available at www.sedarplus.ca. Capitalized terms not otherwise defined herein are as defined in the Prospectus.
Initial public offering: The ETF issues Units on a continuous basis and there is no maximum number of Units that may be issued. Units sold in connection with the Offering of the ETF will amount to 50,000 Units at a price of C$20.00 per Unit.
