Nature of business: The ETF seeks to generate long-term growth of income and capital by investing primarily in a concentrated portfolio of publicly-traded equity securities of U.S. companies that pay a dividend selected primarily from the S&P500® Index.
Transfer agent and registrar: TSX Trust Company at its principal office in Toronto.
Distributions: No cash distributions on Units of the ETF will be made.

Initial public offering: 50,000 CAD Units will be issued at a subscription price of CDN$20.00 and 50,000 USD Units at a subscription price of US$15.93 per Unit. The ETF is authorized to issue an unlimited number of Units, each of which represents an equal, undivided interest in the net assets of the ETF. The Units of the ETF are being issued and sold on a continuous basis and there is no maximum number of Units that may be issued.
