Incorporation: The ETF is an exchange traded mutual fund established as a trust under the laws of the Province of Ontario pursuant to a master declaration of trust dated January 14, 2021 (as amended or as amended and restated from time to time).

Nature of business: The ETF seeks to replicate, to the extent possible, the performance of an ESG-focused US high yield corporate bond index, net of expenses. Currently, the ETF seeks to replicate the performance of the Bloomberg Barclays MSCI US High Yield Liquid Corporate Sustainability SRI Index. In respect of the Hedged Units, the ETF will also invest in or use derivative instruments to seek to hedge U.S. currency exposure.
Transfer agent and registrar: State Street Trust Company Canada at its principal offices in Toronto.
Distributions: Cash distributions on Units of the ETF are expected to be made monthly.
Sponsorship: Not applicable.
Offering document: Prospectus dated January 14, 2021 (the "Prospectus"), which is available at www.SEDAR.com. Capitalized terms not otherwise defined herein are as defined in the Prospectus.
Initial public offering: 400,000 CAD Units will be issued at a subscription price of CDN$30 per CAD Unit and 100,000 Hedged Units will be issued at a subscription price of CDN$30 per Hedged Unit. Units are being issued and sold on a continuous basis and there is no maximum number of Units that may be issued.
